Carlyle Group has secured a controlling stake in Roop Automotives Limited, marking a significant expansion of its presence in India’s auto components sector. The acquisition also includes a controlling interest in Highway Industries Limited, forming a consolidated automotive parts platform under Carlyle’s umbrella.
Roop Automotives, known for its expertise in steering and drivetrain components, serves both domestic and international original equipment manufacturers (OEMs) and Tier 1 and Tier 2 suppliers. Meanwhile, Highway Industries specializes in high-precision steel forging, catering to a wide range of vehicle manufacturers across segments, including two-wheelers, four-wheelers, tractors, and off-road vehicles.
A team of legal advisors provided guidance throughout the transaction, covering competition law, intellectual property, technology, employment law, and regulatory approvals. The deal, finalized on September 17, 2024, received the necessary clearance from the Competition Commission of India on January 7, 2025.
With this move, Carlyle Group strengthens its foothold in India’s growing automotive supply chain, leveraging Roop and Highway’s established networks and manufacturing capabilities to drive further industry consolidation.
