KYB Corporation has finalized the sale of its 51% stake in KYB Conmat Private Limited (KCPL) to Conmat Projects Private Limited (CPPL), an entity affiliated with joint venture partner Prem Raj Keshyep. The transaction, completed on January 6, 2025, marks a significant restructuring within the partnership.
As part of the agreement, KYB and KCPL have entered into a licensing arrangement, allowing KCPL access to select intellectual property from KYB.
A multidisciplinary legal team facilitated the deal, ensuring compliance across corporate, tax, intellectual property, competition, insolvency, and dispute resolution aspects. KYB Corporation was further advised by Morrison Foerster, Tokyo, while DSK Legal represented KCPL, CPPL, and Prem Raj Keshyep in the negotiations.
